LOS ANGELES (Etats-Unis) (AFP) - Vous souffrez d'allergies aux poils de félin qui vous empêchent d'accueillir un chat chez vous: la solution s'appelle le chat hypoallergénique transgénique promis pour 2007 par une société de biotechnologie américaine.

Plutôt que de suivre des traitements parfois pénibles et souvent coûteux contre les allergies aux poils des animaux de compagnie, la société Allerca a lancé un programme de création d'un tel chat au patrimoine génétique modifié par la suppression du gène responsable des allergies chez les humains, selon un communiqué.

Il en coûtera environ 3.500 dollars, selon le site internet de l'entreprise.

Selon Allerca, le traitement des allergies liées aux chats, qui peuvent développer de l'asthme chez certaines personnes sensibles, se chiffre en plusieurs milliards de dollars alors qu'environ 10% des Américains, soit 27 millions de personnes souffrent actuellement de ce type de maux.

La société, qui affirme être la première à proposer ce type d'animal transgénique, se targue d'avoir déjà eu des milliers de demandes en provenance des Etats-Unis mais également du Japon et d'Europe.

Un système de réservation par internet a été mis en place sur le site web de la société qui devrait pouvoir livrer les premiers chatons en 2007, selon le communiqué.

This Reservation and Purchase Agreement (the "Agreement") dated as provided herein, is made between the prospective purchaser named herein (The "Purchaser") of a non-allergenic or hypo-allergenic, to-be-developed cat and Allerca, Inc., a California corporation (the "Company"), its successors and assignees, and is dated the date set forth herein. 

PREMISES

Whereas, the Company intends to use current and future technology for the development of hypo-allergenic cats; and

Whereas, the Company has formulated a proposed program of genetic research and development to be carried out by a research team (the "Research Team"), calling for the Research Team to develop a method for developing transgenic cats which will either lack genes for or will contain artificially-muted genes specific to,  proteins producing allergies in humans, which proteins are believed not to be useful or necessary genetic factors in the

Whereas, due to discussions in progress with respect to potential licensors of existing and prospective intellectual property rights, the Company expects to have rights to produce such transgenic cats for worldwide sale;

Whereas, the undersigned Purchaser wishes to place a deposit to reserve for purchase such a transgenic cat, as soon as such cat can be made available by the Company on the terms and conditions set forth herein, and subject to the contingencies set forth herein;

NOW, THEREFORE, the parties hereto do hereby agree to the following terms and conditions for the herein described transaction.

AGREEMENT

1. Deposit and Payment of Final Purchase Price.  Purchaser agrees to pay a deposit to obtain the right to purchase, and Company upon receipt of such deposit, shall grant Purchaser the right to buy, one ALLERCA hypo-allergenic cat ("the Cat), if and when such Cat can be made available.

a.  The cash purchase price of the Cat (the "Purchase Price") shall be the lesser of

(i) the Company's then-current published retail purchase price to the public at time of availability (the" Published Price") or

(ii) Three Thousand Five Hundred U.S Dollars plus the "Inflation Index Amount" (as defined below), plus any considerations listed under "Additional Conditions".  By signing (by any means recognized by law) this Agreement, Purchaser agrees to pay and remit to the Company herewith a holding deposit of $250.00, which shall be non-refundable whether or not a Cat is ever produced or delivered.  The Inflation Index Amount shall be an annualized, cumulative cost-of-living ("COLA") type adjustment equal to the US federal government's cost of living adjustment factor issued from time to time by the U.S. government, under whatever title.

EVEN IF SCIENTIFIC DEVELOPMENT (OR LACK THEREOF) OR LEGAL RESTRICTIONS DELAY OR MAKE IMPRACTICABLE OR IMPOSSIBLE THE PRODUCTION OR SALE OF ALLERGY-FREE CATS, THE DEPOSIT WILL BE NON-REFUNDABLE BY THE COMPANY, TO THE EXTENT PERMISSIBLE UNDER LAW. WITH REGARD TO PURCHASE PRICE, THE COMPANY EXPECTS ITS PUBLISHED PURCHASE PRICE FOR HYPO-ALLERGENIC CATS TO BE SUBSTANTIALLY HIGHER THAN THE PURCHASE PRICE PROVIDED HEREIN, DUE TO THE COMPANY'S ANALYSIS OF SUPPLY DEMAND FACTORS IN VARIOUS MARKETS, BUT THAT THERE CAN BE NO GUARANTEE THAT SUCH PUBLISHED PURCHASE PRICE, OR THE ACTUAL PURCHASE PRICE RECEIVED BY THE COMPANY ON THE OPEN MARKET AT SUCH TIME, SHALL BE GREATER THAN $3,500.00, INDEXED FOR INFLATION AS PROVIDED HEREIN. COMPANY'S PUBLISHED PRICE FOR CATS REFERRED TO HEREIN SHALL BE A BLENDED PRICE, BASED ON THE COMPANY'S AVERAGE OFFERING PRICES IN ITS VARIOUS MARKETS, OF HYPO-ALLERGENIC CATS.

In the event that the Company successfully produces a certified hypo-allergenic cat, the $250.00 deposit provided herein shall be credited towards the Purchase Price.  Upon availability of a Cat, the Company shall inform the Purchaser, providing thirty days notice to Purchaser to complete the payment of the Purchase Price.

2.  Additional Terms Re: Procedures.

a.  Completion of Payment. Assuming the Company's commercial production of Cats and the Company's legal right to distribute Cats as specified herein, each person making a deposit toward the purchase of a Cat shall be awarded a reservation, with a reservation number corresponding to the time of the Company's receipt of such deposit. The reservation number shall determine the Purchaser's priority for purchase of a Cat. However, neither the deposit amount, nor the Purchase Price, will ever increase once the full deposit has been paid, and provided Purchaser otherwise complies with purchase terms.

i.  Upon notification to the Purchaser that a Cat is available for Purchase, Purchaser shall confirm to the Company Purchaser's intent to purchase the Cat, as directed by the Company. The Purchaser shall then pay the Purchase Price balance prior to delivery of the Cat, in any reasonable time, place and manner required by the Company. Means of payment acceptable to the Company are expected to include Purchaser's choice of electronic check, debit card or credit card. Purchaser shall be obligated to pay all applicable sales taxes on the purchase of the Cat, and any sales taxes found to be applicable on the deposit, in a time, place and manner to be directed by the Company.

ii. Whether or not Purchaser shall complete the purchase as directed by the Company, the Company shall retain such Purchaser's deposit without further obligation to the Purchaser, except as may otherwise be provided herein. If Purchaser fails to complete the purchase, this Agreement shall be deemed terminated Purchaser's by failure to do so, except for provisions if any specifically surviving such termination, and Company's obligations set forth herein shall be deemed wholly and completely satisfied. In the name and place of the Purchaser named herein, any living relative of the Purchaser shall be entitled to complete the purchase should Purchaser die or become legally or mentally incapacitated before a Cat can be made available.

b.  Delivery of Cat.  Upon availability, the Company shall deliver the Cat to a Company-selected veterinary facility for pickup by Purchaser. Such veterinary facilities have not yet been selected, will be selected in the sole discretion of the Company, and may be any reasonable distance up to 100 miles from Purchaser's residence at the time the Company accepts Purchaser's deposit or accepts Purchaser's final payment on his/her purchase order.  The Company reserves the right to reject a purchase order from a Purchaser not within such distance of a Company-designated veterinary facility, but will attempt to accommodate the Purchaser by designating a convenient facility mutually acceptable to the parties. In the event no such facility is available, the Company reserves the right to return the $250.00 deposit to Purchaser with no interest thereon.  Failure by Purchaser to pick up the Cat within 2 days after delivery will result in a boarding and care fee of $50 per day, in addition to the regular veterinary fees cited below. Failure to pick up within 7 days may result in loss of right to the particular Cat and loss of purchase list priority. Purchaser will execute a waiver, release and indemnification agreement prior to delivery of the Cat preventing Purchaser from commencing any litigation against such veterinary facility` for breach of contract or malpractice, and committing any disputes with such facility to arbitration and mediation and/or, at the Company's election, arbitration and mediation of the dispute with the Company alone.

c. Characteristics of Cat.  Purchaser shall have no choice as to the color, sex, or hair characteristics of the Cat.  The Company may provide that any Cat be spayed or neutered before delivery hereunder, at Company's expense.  Purchaser agrees to the implantation of a microchip in the Cat, at the Company's discretion, for identification purposes, but the Company shall not be required to implant such microchip and may do so in some, none, or all of the Cats in its sole and absolute discretion.

d.  The Purchaser will be responsible for shipping, veterinary, or other reasonable expenses incurred to complete this Agreement, up to a limit of $250 (in current dollars), indexed for inflation to any higher applicable amount.

e. With delivery of a Cat, the Company will provide a health certification, signed by a certified veterinarian practitioner, as to the good health of the Cat. The content of the certification shall be in the reasonable discretion of the Company, and shall be determined by a committee of veterinarians selected in the sole and absolute discretion of the Company. The Company will guarantee the Cat against the development of a contagious disease for one week after the delivery of the Cat to Purchaser, provided the Cat is not exposed to another non-human animal during such period and after pickup by Purchaser.  If the Cat, verifiably without such exposure, develops a contagious disease within one week of its release to the Purchaser, the Purchaser shall choose one of the two following actions:

i.  The Purchaser may return the Cat to a Company-approved facility in treatable condition with a written statement from a licensed Veterinarian providing full details of the disease suffered by the Cat, along with such veterinarian's statement (in a format supplied by the Company) to the effect that shipment of the Cat to the Company is medically safe. The Company will then treat the Cat with the assistance/advice of the Company's appointed veterinarian at the Company's expense, and return it to Purchaser upon completion of treatment. The Purchaser shall have the option of a replacement Cat (to be provided at any reasonable time but no later than six months after the death of the original Cat) from the Company if the original Cat dies or cannot be certified as healthy by a veterinarian (including one appointed by the Company, in its sole and absolute discretion), or may have the original Cat returned when said Cat has been verified as fully recovered by a licensed Veterinarian.

ii.  The Purchaser may have the Cat treated at the Veterinarian of his/her choice, in which case the Company will reimburse reasonable Veterinary fees to treat the contagious disease up to but not exceeding 50% of the purchase price of the Cat (excluding shipping and other fees). The Purchaser shall submit proof of such expenses to the Company from the attending Veterinarian using a company approved claims form, which expenses shall be subject to the reasonable approval of the Company.  The Company shall not be liable for any worsening of the condition of the Cat during or subsequent to such treatment, nor for the death of the Cat subsequent to such treatment.

c.  The Cat will be examined and/or treated by a veterinarian selected by the Company for internal and/or external parasites prior to its delivery, and provided with all recommended vaccinations. The Purchaser must continue the parasite control measures and the vaccination schedule as an ongoing necessity for the health of the Cat.  Information on such recommended treatment will be provided by the Company to the Purchaser, and failure to adhere to such regimen may, at the reasonable discretion of the Company, void any express or implied warranties of the Company, or any veterinarian engaged by the Company, with respect to the Cat.

d.  If the Cat must be euthanized, or dies from natural causes, prior to twelve (12) months of age due to a congenital or inherited problem, the Purchaser shall provide the Company with a written statement from an attending veterinarian. This statement shall list the Cat's full name, sex, microchip or tattoo code, and the date and reason for the Cat's death in a manner reasonably acceptable to the Company and comporting with then-current veterinary standards as interpreted by the Company. In such case, the Company will provide a replacement Cat to the Purchaser within three months after such death or as soon thereafter as practicable, which shall be free of charge except that Purchaser shall pay reasonable preparatory and delivery costs including veterinary fees and transportation costs, as determined by the Company. No more than one replacement Cat will be provided, regardless of circumstances, nor shall any refund of Purchase Price be made, regardless of circumstances.

e.  At the discretion of the Company the Cat may be neutered prior to delivery to Purchaser. Registration papers (if applicable) for this Cat will be provided as soon as possible by the Company to the Purchaser.  It is unknown at this time whether registration papers will apply in the case of a genetically-altered cat, and therefore the Purchaser shall not be entitled to such papers, which shall be delivered, if at all, at the sole and absolute discretion of the Company with no warranty or representation except as may be provided therein.

The Purchaser accepts full responsibility for the Cat and its actions, which shall be sold and delivered solely as an untrained companion animal, and fully indemnifies, holds harmless and covenants to defend the Company from any cause or action related to this Cat once it leaves the Company's possession.

3. Allocation of Cats.  Cats produced by the Company, or under license from the Company in connection with the Company's retail sales of Cats as provided herein, will be allocated as follows.

i. From among all hypo-allergenic cats produced by or under license form the Company, the Company shall allocate one Cat to a Purchaser who has paid a deposit and the Balance of the Purchase Price under this Agreement or any closely similar offering by the Company, for every cat allocated to open-market retail sale by the Company.  The cats counted in the allocation process will include only those cats able to be certified as hypo-allergenic and made available for commercial or retail sale in a given calendar year.  Thus, for example, if 500 such cats are produced and able to be sold and delivered in 2007, and 400 Purchasers have made deposits under this Agreement or a similar arrangement, 250 cats will be allocated to those Purchasers and the remaining 250 cats shall be allocated to others who may purchase on the open market at open-market prices fixed by the Company from time-to-time in its sole and absolute discretion, whether in the year of such allocation or the following year.

4. Purchaser's Further Representations and Agreements.

a. Purchaser is entering into this Agreement with the intent of purchasing a Cat for companionship purposes and no other.  Purchaser understands that any agreement entered into for any other purpose shall be void from its inception and the Company's obligations and liabilities thereunder shall be treated as void under the doctrines of fraud and mistake, or any other applicable doctrine.

b. Purchaser is a resident of the state and locality named on purchaser's deposit form, and all the other information thereon is true, accurate and correct as of today's date.  Purchaser warrants that he or she has full legal capacity to enter into and perform this Agreement and is doing so on Purchaser's own behalf and not on behalf of any other person, instrumentality, agency or entity. This warranty shall survive the termination of this Agreement.

c. Purchaser hereby agrees to indemnify, release, defend and hold harmless from and against any and all litigation, claim or action commenced in whole or in part in Purchaser's name at any time against Company, its partners, employees, agents, shareholders or contractors in respect of this Agreement, to the fullest extent of the law.  If such obligation of Purchaser is unenforceable in whole or in part, this Agreement will be thereupon terminated and Company shall retain Purchaser's deposit (or portion thereof otherwise designated herein below) as liquidated damages.

d. Purchaser shall not sell or transfer any Cat purchased hereunder to anyone other than an immediate family member, and shall not offer to any person the purchase of a Cat or any genetic material from a Cat, the rights Purchaser may have under this Agreement, or any other right related hereto.

5. Further Company Rights and Obligations Hereunder .

i. Best Efforts:  The Company shall be obligated to use its best efforts to produce a certified hypo-allergenic cat ("Cat") as soon as practicable, pursuant to any intellectual property rights available to it given the Company's available funds and the scientific and legal circumstances, but may suspend the project temporarily or permanently at any time if unresolved financial, scientific problems, or legal obstacles to the continued performance of the project or of this Agreement shall materially and adversely affect the Company's ability to so perform.  This determination shall be made in the sole and absolute discretion of the Company. There is no time limitation on the Company's obligation to make a good faith, best efforts attempt to produce such cat, subject to available funds and any legal or practical restrictions

ii. Allergy Test .  At the Company's option, prior to delivery of a Cat hereunder, it may require that the Purchaser, and all resident at the Purchaser's address, self-administer or otherwise undergo a comprehensive allergen screening test at Purchaser's own expense, not to exceed $50.00 per person, and to make the results available to the Company in a manner to be determined by the Company.  The Company reserves the right to rescind this Agreement with any Purchaser who shall refuse or fail to comply with this provision.

6. GENERAL PROVISIONS.

a..  Execution. This Agreement may be executed in one or more counterparts, each of which will be deemed to be an original and all of which, when taken together, will be deemed to constitute one and the same agreement.  An execution of this agreement by the input of data into forms presented on the website of the Company or any of its affiliate or contractor companies shall be deemed valid for all purposes, without regard to the existence of an actual or electronic signature of the parties.  The Company's acceptance of a Deposit shall be considered the formation of a binding contract.

c. Notices.  All notices, requests and other communications (collectively, "Notices") given pursuant to this Agreement shall be in writing, and shall be delivered by personal service or by United States first class, registered or certified mail (return receipt requested), postage prepaid, addressed to the party at the address set forth below:

If to the Company: 11400 W Olympic Blvd, Suite 200, Los Angeles CA 90064

If to the Purchaser: To the Purchaser's address as shown on his/her deposit form or hereunder.

Any Notice shall be deemed duly given when received by the addressee thereof, provided that any Notice sent by registered or certified mail shall be deemed to have been duly given three days from date of deposit in the United States mails, unless sooner received.  Either party may from time to time change its address for further Notices hereunder by giving notice to the other party in the manner prescribed in this section, or, at the option of the Company, via email or entry of data upon a web form which may be provided by the Company for that purpose.

d. Entire Agreement.  This Agreement contains the sole and entire agreement and understanding of the parties with respect to the entire subject matter of this Agreement, and any and all prior discussions, negotiations, commitments and understandings, whether oral or otherwise, related to the subject matter of this Agreement are hereby merged herein.  No representations, oral or otherwise, express or implied, other than those contained in this Agreement have they been made by the Company.  More specifically, information posted on the website(s) of the Company or any of its affiliates or contained in press releases of the Company which may be issued from time to time are for general background purposes only, may inadvertently contain incomplete or inadequate material upon which to base a purchase decision, and therefore should not be used to base a purchase decision.

e. Arbitration and Attorney's Fees.  Any dispute between Purchaser and the Company, or the assigns or legal representatives of either, shall be settled by binding arbitration at Los Angeles, California, to be conducted in accordance with the rules of the American Arbitration Association, or such other arbitration rules as the parties may agree. If any such arbitration or in any proceeding to confirm or enforce the results thereof, the prevailing party shall recover all of such party's costs and reasonable attorneys' fees incurred in each proceeding, including any and all appeals or petitions therefrom.  The foregoing provision shall not affect the interpretation of the limitation on assignments of rights or obligations hereunder by Purchaser.

f. Governing Law.  THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF  THE STATE OF CALIFORNIA, WITHOUT REGARD TO CONFLICTS OF LAW PRINCIPLES THEREOF.

  g. Void Where Prohibited or Restricted  .  The Company reserves the right to void or cancel this Agreement at any time prior to the delivery of a Cat to Purchaser, if in the Company's sole and absolute discretion it determines that its execution or performance of the Agreement is, was or would be violative of any material applicable law or regulation, or would result in any substantial civil or criminal liability to any of the Company, its officers, directors, shareholders, contractors, employees, other agents, successors or assignees, and may so cancel the Agreement at any time by notice delivered to Purchaser as provided herein.  In any jurisdiction where the Company it is held by a court of competent jurisdiction that the Company is not permitted by law to exercise such right, the Agreement shall be deemed void from its inception and the Company shall be obligated to return the affected deposits to the Purchaser(s) to the extent of funds available.  The Company shall not be obligated to perform this Agreement where enjoined civilly or criminally from doing so.

h Captions and Construction.  The various captions of this Agreement are for reference only and shall not be considered or referred to in resolving questions of interpretation of this Agreement.  The language used herein shall be deemed to be the language of the parties chosen to express their mutual intent, and shall not be strictly or narrowly interpreted against either party.

i. Counterparts.  This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute one and the same instrument.  Counterparts executed in electronic form, such as by the completion of a form of the website of the Company or any of its affiliates or contractor companies, shall be considered valid and enforceable as if executed with a handwritten signature. If necessary or desirable under the law of any jurisdiction, in the reasonable discretion of the Company, the Agreement shall be deemed an offer to the Purchaser and Purchaser's paying a Deposit to the Company shall be treated as Purchaser's acceptance of the offer.

h Business Day.  If the last day permissible for delivery of any Notice under any provision of this Agreement, or for the performance of any obligation under this Agreement, shall be other than a business day in the jurisdiction where the action is to be performed, such last day for such Notice or performance shall be extended to the next following business day under the law of the governing jurisdiction.  Where the meaning of "business day" is uncertain, business day shall mean a day on which banks are generally open for business on the date in question.

  i. Am,endment; Waivers.  No amendment or modification of this Agreement shall be valid unless in writing and signed by or on behalf of the parties hereto, and further provided, that such amendment shall be ineffective unless in conformity with applicable law.  A waiver of any breach of any term, provision or condition of this Agreement shall not be deemed to constitute a waiver of any subsequent breach of the same or any other term or condition.

                      j. Severability. This Agreement is intended to be performed in accordance with, and only to the extent permitted by, all applicable laws, ordinances, rules and regulations. If any provision of the Agreement, or the application thereof to any person or circumstances, shall for any reason and to any extent be held invalid or unenforceable, such invalidity and unenforceability shall not affect the remaining provisions hereof and the application of such provisions to other persons or circumstances, all of which shall be enforced to the greatest extent permitted by law.

In witness whereof, the parties have executed this Agreement as of the date first set forth above or as otherwise dated in an electronically executed version of this Agreement, as same may be presented on the website of the Company or any affiliate.

Ces chats peuvent ils se reproduire ?? la société se réserve t'elle un droit sur la progéniture ?

Je trouve ça bien pour les allergiques, c pas mon cas, ce qui est une vraie inégalité !!

Imaginez, moi j'ai eu un chat gratos, plein de trucs allergenes et qui se reproduit.

Les allergiques doivcent se payer un chat cher.. vous devriez demander une prime à l'état :icon_up:

Mais non ibinico, c'est un obstacle que Dieu m'a mis sur mon chemin, et je me dois de le franchir ! :icon_up:

Je ne suis pas sûr que ce soit Dieu qui t'ai rendu allergique aux chats. Les allergies et maladies auto-immunes sont aujourd'hui beaucoup plus fréquentes qu'il y a quelques dizaines d'années, il me semble. Il doit bien y avoir des causes humaines à ce phénomène …

Forcément. Il n'arrive plus rien ici-bas sans causes humaines.

Le fait qu'on ne meurt (presque) plus de tuberculose, de lepre, peste, appendicite, etc., est en effet une "cause humaine", et c'est une cause directe du développement des autres maladies, celles qui ne pouvaient pas se développer faute de "clientèle" (dur dur d'être un microbe pathogène : la concurrence fait rage !) …

Ainsi va la vie, de nouveaux problèmes apparaissent chaque jour pendant que d'autres sont résolus. Cela dit, n'importe quel observateur un tant soit peu neutre peut remarquer que plus l'on s'obstine à vouloir aller à contre-sens de la nature, plus les dégâts sont importantes et moins " réparables ".

Oui c'est idiot, et honteusement libéral !

Tu aurais du dire : l'Etat doit prendre en charge cette initiative afin de redistribuer gratuitement des chats hypoallergéniques aux pauvres allergiques (et l'opération pourra bien sûr être financée par ceux qui n'ont jamais voulu de chat chez eux : ce n'est pas parce qu'ils refusent la compagnie de nos amies les bêtes qu'ils doivent empêcher les autres d'en avoir en ne payant pas leurs impôts !).

Ou bien interdire les chats pour ne pas rendre jaloux les allergiques (cette option semble meilleure, car si on commence avec les chats il faudra aussi le faire pour les chiens, les cochons d'Inde etc. Par ailleurs les français étant hyper-conservateurs ils sont certainement opposés en majorité à ce genre de manip génétique. Donc autant interdire ces manips en plus des chats. Et des chiens donc.)

Qu'est ce que ça veut dire ?

En gros, quand on fait quelque chose contre-nature, genre utiliser des produits chimiques pour abattre les pucerons alors que des coccionnelles suffisent, les dégats sont inévitables. Quelque chose de plus gros que l'utilisation des pesticides amènera des conséquences plus graves.
